D\u00e8s lors, se pose une question fondamentale : celle de la d\u00e9termination de la partie qui supporte les risques et les frais li\u00e9s \u00e0 l\u2019acheminement des marchandises.<\/span><\/p>\n<p><span style=\"font-size: 14pt;\">Afin de standardiser ces pratiques et d\u2019apporter une r\u00e9ponse claire \u00e0 cette probl\u00e9matique, la Chambre de Commerce Internationale (CCI) a instaur\u00e9 les Incoterms. Les Incoterms (International Commercial Terms) constituent un ensemble de r\u00e8gles internationales qui d\u00e9finissent les obligations respectives du vendeur et de l\u2019acheteur dans le cadre d\u2019un contrat de vente internationale.<\/span><\/p>\n<p><span style=\"color: #ff0000; font-size: 14pt;\"><strong>D\u00e9finition\u00a0 des\u00a0 incoterms:<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>Les Incoterms, ont \u00e9t\u00e9 cr\u00e9\u00e9s en 1936 par la Chambre de Commerce Internationale (CCI) dans le but d\u2019harmoniser et d\u2019unifier les pratiques du commerce international. Depuis leur introduction, ces r\u00e8gles ont fait l\u2019objet de plusieurs r\u00e9visions afin de s\u2019adapter aux \u00e9volutions des \u00e9changes commerciaux mondiaux.<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>La version pr\u00e9c\u00e9dente, publi\u00e9e en 2010, a \u00e9t\u00e9 r\u00e9vis\u00e9e pour donner naissance aux Incoterms 2020, en r\u00e9ponse aux transformations importantes du commerce international au cours de la derni\u00e8re d\u00e9cennie.<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>Int\u00e9gr\u00e9s au contrat de vente, les Incoterms constituent un v\u00e9ritable \u00ab langage commun \u00bb permettant de limiter les divergences d\u2019interpr\u00e9tation quant \u00e0 la r\u00e9partition des responsabilit\u00e9s entre les parties. Ils d\u00e9finissent notamment les obligations respectives du vendeur et de l\u2019acheteur en mati\u00e8re de livraison des marchandises.<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>Les Incoterms 2020 tiennent compte des \u00e9volutions r\u00e9centes des pratiques commerciales et apportent des ajustements \u00e0 certaines r\u00e8gles existantes. Dans cette optique, ils sont d\u00e9sormais regroup\u00e9s en deux cat\u00e9gories principales selon le mode de transport utilis\u00e9 :<\/strong><\/span><\/p>\n<p><span style=\"color: #ff0000; font-size: 14pt;\"><strong>MODALIT\u00c9S DE MISE EN \u0152UVRE<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>L\u2019utilisation des Incoterms dans les transactions commerciales internationales n\u00e9cessite le respect de certaines modalit\u00e9s afin d\u2019assurer leur application correcte et d\u2019\u00e9viter toute ambigu\u00eft\u00e9 entre les parties contractantes .<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>les Incoterms doivent \u00eatre<u> express\u00e9ment mentionn\u00e9s dans le contrat de vente<\/u>. Leur application n\u2019est pas automatique, ce qui implique que les parties doivent clairement indiquer leur volont\u00e9 d\u2019y recourir. Cette mention doit inclure l\u2019Incoterm choisi, le lieu pr\u00e9cis de livraison ainsi que la version applicable, g\u00e9n\u00e9ralement celle des Incoterms 2020.<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>Il est essentiel de <u>pr\u00e9ciser avec exactitude le lieu <\/u>g<u>\u00e9o<\/u>g<u>raphique<\/u> associ\u00e9 \u00e0 l\u2019Incoterm. En effet, le point de livraison constitue un \u00e9l\u00e9ment d\u00e9terminant puisqu\u2019il conditionne le transfert des risques et la r\u00e9partition des co\u00fbts. Une d\u00e9signation impr\u00e9cise peut engendrer des litiges entre le vendeur et l\u2019acheteur.<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>le choix de l\u2019Incoterm<u> doit \u00eatre adapt\u00e9 au mode de transport utilis\u00e9.<\/u> Certains Incoterms sont sp\u00e9cifiques au transport maritime et fluvial (FOB, CIF, CFR, FAS), tandis que d\u2019autres sont applicables \u00e0 tous les modes de transport.<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\">les Incoterms doivent \u00eatre utilis\u00e9s <u>en compl\u00e9ment d\u2019un contrat de vente d\u00e9taill\u00e9.<\/u> En effet, ils ne couvrent pas l\u2019ensemble des aspects de la transaction commerciale, notamment les modalit\u00e9s de paiement, le transfert de propri\u00e9t\u00e9 ou les sanctions en cas de non-respect des obligations contractuelles.<\/span><\/p>\n<p><span style=\"font-size: 14pt;\">une bonne mise en \u0153uvre des Incoterms suppose <u>une compr\u00e9hension claire de la<\/u> <u>distinction entre transfert des risques et prise en char<\/u>g<u>e des co\u00fbts<\/u>. Ils sont particuli\u00e8rement adapt\u00e9s au transport moderne, notamment au transport conteneuris\u00e9, o\u00f9 plusieurs modes de transport peuvent \u00eatre combin\u00e9s au cours d\u2019une m\u00eame op\u00e9ration logistique.<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>Les Incoterms multimodaux offrent une plus grande flexibilit\u00e9 et sont aujourd\u2019hui les plus utilis\u00e9s dans le commerce international, en raison de l\u2019\u00e9volution des cha\u00eenes logistiques et du d\u00e9veloppement du transport intermodal.<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>Le vendeur met la marchandise \u00e0 disposition \u00e0 la sortie de l\u2019usine, les obligations du vendeur sont tr\u00e8s limit\u00e9es, le transfert des risques se fait \u00e0 la sortie d\u2019usine, toutes les autres responsabilit\u00e9s rel\u00e8vent de l\u2019acheteur, ce qui repr\u00e9sente la charge la plus importante pour celui-ci et la charge minimale
